These Terms & Conditions ("Terms") govern your access to and use of Valoent, a platform operated by Valoent, a company under Valorest Ventures ("Valoent", "we", "us"). By creating an account or using the platform, you agree to these Terms.

1. What Valoent is

Valoent is a marketplace that connects independent professionals ("Professionals") with companies and recruiters ("Companies") seeking project-based expertise. Valoent facilitates introductions and AI-based matching between Professionals and Companies; it is not a party to, and does not guarantee the outcome of, any engagement, contract, or agreement entered into between a Professional and a Company.

2. Eligibility and accounts

You must be at least 18 years old to create an account.
Company and Recruiter accounts must register using an email address on their organization's own domain, not a personal or free email provider.
You are responsible for maintaining the confidentiality of your account and for all activity under it.
You agree to provide accurate information in your profile, including skills, experience, availability, and company details.

3. Verification

Valoent may offer optional or required verification of identity, experience, skills, or company status. Verification badges reflect Valoent's review at the time granted and are not a guarantee of a party's conduct, reliability, or the quality of their work.

4. Fees and payments

Certain actions on Valoent, including unlocking a Professional's full profile and contact details, may require payment by the Company. Fees, where applicable, are disclosed before payment is made. Payments are processed through third-party payment processors; Valoent does not store your full payment card details.

5. Engagements between Professionals and Companies

Any work arrangement, contract, scope of work, rate, or payment schedule agreed between a Professional and a Company is solely between those parties. Valoent is not responsible for the performance, payment, or conduct of either party in connection with such an engagement, except where Valoent's own project-room or milestone tools are used and expressly state otherwise.

6. Prohibited conduct

Misrepresenting your identity, company affiliation, skills, or experience
Circumventing Valoent's verification or unlock mechanisms
Using the platform to solicit or advertise services unrelated to genuine project-based work
Harassing, discriminating against, or abusing other users
Attempting to access another user's account or data without authorization

7. Content and data

You retain ownership of the content you submit to your profile or in the course of using Valoent. By submitting content, you grant Valoent a license to display and use that content as necessary to operate the platform, including showing your profile to matched parties. 8. Disclaimers

Valoent is provided "as is." We do not guarantee that matches will result in successful engagements, that Professionals or Companies will meet expectations, or that the platform will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Valoent and Valorest Ventures shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform or any engagement formed through it.

10. Termination

Valoent may suspend or terminate accounts that violate these Terms, including fraudulent verification claims, misuse of contact information obtained through the platform, or abusive conduct.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of Valoent after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles.
